Terms of engagement

These are the standard terms I work under. I will usually ask you to agree to these via email, along with:

  • any project-specific changes to these terms,
  • the agreed fee,
  • and the payment schedule.

Definitions:
'The Producer' is me, Angus, and 'The Client' is you.

1. Scope of Work:
1.1 The Producer agrees to provide musical production services as outlined in the project proposal or agreement agreed via electronic communication.
1.2 Any changes or additions to the scope of work must be mutually agreed upon in writing by both parties.

2. Compensation:
2.1 The Client agrees to pay the Producer the agreed-upon fee for services rendered.
2.2 Payment terms, including deposit, milestones, and final payment, will be detailed in the project agreement.
2.3 Late payments may incur additional fees or interest, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

3. Deliverables:
3.1 The Producer will deliver the agreed-upon musical compositions and/or recordings by the specified deadlines.
3.2 The Client will provide timely feedback, and any necessary revisions will be made within the scope of the original agreement.

4. Revisions:
4.1 A reasonable number of revisions are included in the agreed-upon fee.
4.2 Additional revisions outside the agreed scope may be subject to additional charges.

5. Ownership and Rights:
5.1 After the final payment has been made, the Client may use and modify the final musical work for any purpose.
5.2 The Producer retains ownership of the final musical work unless otherwise specified in writing.

6. Confidentiality:
6.1 Both parties agree to keep all project-related information confidential.
6.2 The Producer may disclose their involvement in the project for promotional purposes with the Client's consent.

7. Termination:
7.1 Either party may terminate the agreement with written notice in the event of a material breach.
7.2 In the case of termination, the Client agrees to compensate the Producer for work completed up to the termination date.

8. Force Majeure:
8.1 Neither party shall be liable for delays or failures in performance due to circumstances beyond their control.
8.2 The affected party shall promptly notify the other party of any such circumstances.

9. Independent Contractor:
9.1 The Producer is considered an independent contractor and not an employee of the Client.
9.2 The Producer is responsible for their own taxes, National Insurance contributions, and other statutory obligations.

10. Governing Law:
10.1 This agreement shall be governed by and construed in accordance with the laws of England and Wales.
10.2 Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the English courts.

11. Entire Agreement:
11.1 This document constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or verbal.
